Terms of Service

1. Introduction
These Terms of Service govern the relationship between Riccardo Latino (hereinafter "RL Web Studio" or "the Provider") and the Client who requests web development, SEO consulting, and related digital services.
By contacting RL Web Studio and proceeding with an engagement, the Client declares that they have read and fully accepted these Terms.
2. Services Offered
RL Web Studio offers the following services:
- Custom website design and development
- SEO optimization (on-page, off-page, technical)
- Strategic consulting for digital presence
- Website performance and speed optimization
- Website maintenance and updates
The specific details of each project are agreed upon through a written quote before work begins.
3. Quotes and Payments
3.1 Quotes
Every project begins with a detailed quote specifying: scope of work, timelines, costs, and payment terms. Quotes are valid for 30 days from the date of issue.
3.2 Payment Methods
Unless otherwise agreed in writing:
- Deposit: 30–50% upon acceptance of the quote
- Balance: Remaining amount upon project delivery
Payments can be made via bank transfer or other agreed methods.
3.3 Late Payments
In the event of a payment delay exceeding 15 days, RL Web Studio reserves the right to suspend work until all outstanding amounts are settled.
4. Timelines and Deliveries
Delivery timelines are specified in the quote and begin from the date the deposit is received along with all necessary materials (copy, images, logos, etc.).
Any delays caused by the Client (failure to provide materials, delayed feedback) will result in a proportional extension of delivery timelines.
5. Revisions and Changes
Each project includes a defined number of free revisions (typically 2–3 rounds), specified in the quote.
Revision requests must be submitted within 7 business days of each project phase being presented. Additional revisions or substantial changes from the original brief will be quoted separately.
6. Intellectual Property
6.1 Transfer of Rights
Upon full payment, all intellectual property rights of the final deliverable are transferred to the Client, including custom-developed source code.
6.2 Portfolio
RL Web Studio reserves the right to feature completed work in its portfolio, website, and promotional materials, unless otherwise agreed in writing with the Client.
6.3 Client Materials
The Client warrants that they own all rights to the materials provided (copy, images, trademarks) and indemnifies RL Web Studio against any third-party claims.
7. Warranty and Support
RL Web Studio warrants that the delivered work will conform to the agreed specifications and be free from significant technical defects for a period of 30 days from delivery.
Bugs and malfunctions reported within this period will be fixed at no extra cost. Functional or aesthetic changes outside the original brief are not included.
8. Limitation of Liability
RL Web Studio shall not be liable for:
- Indirect, consequential damages, or loss of profits
- Malfunctions caused by third-party services (hosting, plugins, APIs)
- Modifications made by the Client or third parties after delivery
- Specific SEO results (rankings depend on many external factors)
RL Web Studio's maximum liability is limited to the total amount paid by the Client for the specific project.
9. Withdrawal and Cancellation
9.1 Client Withdrawal
The Client may withdraw from the agreement at any time. In the event of withdrawal:
- The deposit paid is non-refundable
- Payment is due for all work completed up to that point
9.2 Provider Withdrawal
RL Web Studio reserves the right to withdraw from the agreement in the event of:
- Failure to pay outstanding amounts
- Inappropriate or offensive behavior by the Client
- Requests that violate laws or ethical principles
10. Confidentiality
Both parties agree to keep confidential all sensitive information exchanged during the collaboration, including business data, strategies, and know-how.
11. Force Majeure
RL Web Studio shall not be liable for delays or failures caused by force majeure events, including but not limited to: natural disasters, pandemics, essential service interruptions, government actions, or events beyond reasonable control.
12. Governing Law and Jurisdiction
These Terms are governed by Italian law. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the court in the Provider's place of residence.
13. Changes to Terms
RL Web Studio reserves the right to modify these Terms at any time. Changes do not apply to projects already in progress with an accepted quote.
